Subscriber Agreement.

1. Parties

This Agreement is between:

• VoxPoint: the operator of the VoxPoint platform, a SaaS service for field service businesses, accessible at voxpoint.org.
• Subscriber: the business entity or individual identified in the signature block at the end of this Agreement, who is creating or has created a VoxPoint account.

2. Service

VoxPoint provides a cloud-based operations platform for service businesses, including:

• Estimates, work orders, and invoicing
• Inventory and expense management
• Team scheduling and calendar
• Client Portal for customer-facing document sharing and payment collection
• Vendor management and reporting
• Developer Program and API access (if enabled)

Optional add-ons selected by Subscriber at sign-up or through Settings are incorporated into this Agreement upon activation. Features may vary by subscription tier and are subject to change with reasonable notice as provided in the Terms of Service.

3. Fees

Subscriber agrees to pay the fees for the selected plan, billed in advance via Stripe for the monthly or annual interval confirmed at checkout. Existing subscribers may retain pricing under their existing subscription agreement:

• Pricing is subject to change with at least 30 days' written notice via email or in-app notification.
• All fees are non-refundable except as required by law or as specified in Section 4 (Term and Cancellation).
• SMS overage charges are calculated at end of each billing period and applied to the next invoice.

Platform Transaction Fee

VoxPoint collects a platform transaction fee of 0.4% on all online card payments processed through Subscriber's connected Stripe account. This fee is collected via Stripe Connect Application Fees and is reflected in the 3.3% Online Service Fee rate (2.9% Stripe processing + 0.4% VoxPoint platform fee). Subscribers who enable Online Service Fee pass-through net exactly the invoice amount after all fees; Subscribers who absorb the fee accept this deduction from their payout.

4. Term and Cancellation

This Agreement commences on the date Subscriber activates their account and continues on a monthly or annual basis according to the selected billing interval, renewing automatically each billing period unless cancelled.

• Subscriber may cancel at any time via Settings → Billing → Cancel Subscription.
• Cancellation takes effect at the end of the current billing period. No pro-rata refunds are issued.
• After the subscription ends, Subscriber's data is retained for 30 days, during which data export is available.
• All data is permanently deleted 30 days post-cancellation unless the account is reactivated within that window.
• VoxPoint may terminate this Agreement immediately for material breach of the Terms of Service.

5. Data and Privacy

Subscriber retains full ownership of all business data created within the platform, including customer records, estimates, invoices, work orders, and all other business content.

• VoxPoint processes Subscriber data solely to provide and improve the platform, as described in the Privacy Policy.
• VoxPoint will not sell Subscriber's business data to third parties.
• Data is stored on Supabase infrastructure (US-based). See the Privacy Policy for the full sub-processor list.

6. Acceptable Use

Subscriber's use of VoxPoint is subject to the Terms of Service and the Acceptable Use Policy, both incorporated herein by reference. Subscriber is responsible for all activity under their account and for ensuring compliance by their team members.

7. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the United States. Any disputes arising under this Agreement shall be subject to binding arbitration or the exclusive jurisdiction of the courts applicable under VoxPoint's Terms of Service.
