End User License Agreement.

1. Grant of License

Subject to your compliance with this EULA and VoxPoint's Terms of Service, VoxPoint grants you a non-exclusive, non-transferable, revocable license to access and use the VoxPoint platform solely for your internal business operations.

• This license is granted on a per-organization basis. Each organization requires its own active subscription.
• The license is limited to the features and usage limits of your current subscription tier.
• This license covers access to the VoxPoint service through supported web and mobile interfaces. Installing an available app does not transfer ownership of the software.
• The license is for internal business use only. You may not use VoxPoint to operate a service bureau or provide access to the platform as a service to third parties.

2. Restrictions

You may not:

• White-label, resell, sublicense, or redistribute access to VoxPoint without prior written permission from VoxPoint.
• Reverse engineer, decompile, disassemble, or attempt to derive the source code of VoxPoint's software or underlying systems.
• Create a competing product or service that substantially derives its workflows, user interface patterns, or feature design from VoxPoint.
• Perform unauthorized bulk data extraction, scraping, or automated harvesting of VoxPoint data, whether via the UI or API, beyond what is expressly permitted under the Developer Agreement.
• Remove, alter, or obscure any proprietary notices, trademarks, or branding within the platform.
• Use the platform in any manner that violates applicable law or the Acceptable Use Policy.

3. Intellectual Property

VoxPoint retains all right, title, and interest in and to the platform, including all software, user interface designs, workflows, trademarks, trade names, logos, and documentation. Nothing in this EULA transfers any intellectual property rights to you.

You retain full ownership of all business data you create, upload, or store within VoxPoint, including customer records, estimates, invoices, work orders, and any other content generated through your use of the platform. VoxPoint claims no ownership over your business data.

4. Feedback License

If you submit feedback, suggestions, feature requests, bug reports, or other ideas regarding VoxPoint ("Feedback"), you grant VoxPoint a royalty-free, worldwide, irrevocable, perpetual license to use, reproduce, modify, and incorporate that Feedback into the platform or other products without restriction or compensation to you. Feedback does not constitute confidential information and VoxPoint is under no obligation to act on it.

5. Updates

VoxPoint may update, modify, or enhance the platform at any time, including adding, changing, or removing features. Updates are applied automatically as part of the SaaS service. Your continued use of VoxPoint after any update constitutes acceptance of the updated platform. VoxPoint will provide reasonable notice for changes that materially reduce functionality.

6. Termination

This license is effective from the date you first access VoxPoint and continues until terminated.

• The license terminates automatically upon cancellation of your subscription or closure of your account.
• VoxPoint may terminate your license immediately and without notice for material violation of this EULA or the Terms of Service.
• Upon termination, all rights granted under this EULA cease immediately, and you must stop using the platform.
• Data export and account closure procedures are governed by the Terms of Service.

7. Disclaimer and Limitation of Liability

The platform is provided "as is" without warranties of any kind. VoxPoint disclaims all express and implied warranties to the fullest extent permitted by law. VoxPoint's liability to you under this EULA is subject to the limitations set out in Sections 14 and 17 of the Terms of Service (Disclaimers and Limitation of Liability), which are incorporated herein by reference.
