1. Acceptance of Terms

By registering for a VoxPoint developer account, accessing our APIs, or submitting an application to the VoxPoint Marketplace, you agree to be bound by this Developer Agreement. If you are entering into this agreement on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these terms.

These Developer Terms incorporate the API Terms of Use, Acceptable Use Policy, and Marketplace Terms by reference. In the event of a conflict between this Agreement and any incorporated document, this Agreement shall prevail. The version identifier for this Agreement covers all incorporated documents current as of the effective date.

2. Definitions

  • Platform: The VoxPoint application, APIs, documentation, and related services.
  • Developer: Any individual or entity that registers for a developer account.
  • App: Any application, integration, or service built using VoxPoint APIs.
  • Customer Data: Any data belonging to VoxPoint organizations that a Developer accesses through the API or OAuth authorization.
  • API: The VoxPoint application programming interfaces, including REST endpoints, webhooks, and related tooling.
  • Credentials: API keys, OAuth client secrets, access tokens, and any other authentication material issued to Developers.

3. License Grant

Subject to your compliance with this Agreement, VoxPoint grants you a limited, non-exclusive, revocable, non-transferable license to access and use the VoxPoint APIs solely to develop, test, and operate Apps that interoperate with the Platform.

  • You may not sublicense API access to any third party unless explicitly authorized in writing by VoxPoint.
  • This license does not grant you any rights to VoxPoint's trademarks, logos, or brand assets except as described in the Marketplace Terms.
  • VoxPoint reserves the right to revoke this license at any time for any reason, including but not limited to violations of this Agreement.

VoxPoint retains all right, title, and interest in and to the Platform, APIs, documentation, SDKs, trademarks, and all related intellectual property. Except for the limited license expressly granted herein, no rights are granted to Developer by implication, estoppel, or otherwise.

4. Developer Account Obligations

As a registered Developer, you agree to:

  • Provide accurate, current, and complete registration information.
  • Maintain the confidentiality of your account credentials.
  • Accept full responsibility for all activity that occurs under your account and credentials.
  • Promptly notify VoxPoint of any unauthorized use of your account or any other security breach.
  • Not share developer account access with unauthorized individuals.

5. App Development and Submission

All Apps must comply with applicable laws, regulations, and third-party rights. You are solely responsible for ensuring that your App does not infringe on any intellectual property or violate any applicable regulations.

Apps submitted for review must meet VoxPoint's technical and quality standards. VoxPoint reserves the right to reject, require modifications to, or remove any App at its sole discretion. Submission does not guarantee approval, and VoxPoint is under no obligation to provide specific timelines for the review process.

6. Marketplace Listing Requirements

If you choose to list your App on the VoxPoint Marketplace, you must also comply with the Marketplace Terms, which govern submission standards, content requirements, trademark usage, and app removal procedures. Marketplace listings must accurately describe your App's functionality and may not contain misleading or deceptive claims.

7. OAuth and Customer Data Access

When your App requests access to Customer Data through OAuth authorization, you agree to the following:

  • You must obtain explicit consent from the organization before accessing their data.
  • You may only use Customer Data to provide the functionality described in your App's listing and consent screen.
  • You may not sell, share, license, or otherwise transfer Customer Data to any third party.
  • You must implement reasonable data retention policies and delete Customer Data promptly upon uninstallation of your App or when it is no longer needed for the stated purpose.
  • You must handle all Customer Data in compliance with applicable data protection laws, including but not limited to GDPR and CCPA where applicable.

8. API Key Management and Security

You are responsible for maintaining the security of all Credentials issued to you. Specifically:

  • Never embed API keys, client secrets, or access tokens in client-side code, public repositories, or any publicly accessible location.
  • Store all Credentials using encryption at rest and transmit them only over encrypted channels (TLS/HTTPS).
  • Implement key rotation procedures and promptly rotate any Credentials that may have been compromised.
  • Promptly notify VoxPoint at support@voxpoint.org of any actual or suspected security incident involving your Credentials or Customer Data.

Developer represents and warrants that it maintains reasonable administrative, technical, and physical safeguards appropriate to the sensitivity of Customer Data accessed through the Platform.

9. Rate Limits and Fair Use

VoxPoint enforces rate limits to ensure fair access and platform stability. You agree to:

  • Respect all rate limits as documented and as communicated via API response headers.
  • Implement exponential backoff when receiving HTTP 429 (Too Many Requests) responses.
  • Not attempt to circumvent, bypass, or otherwise defeat rate limiting mechanisms.
  • Design your integration to minimize unnecessary API calls and optimize request patterns.

10. Prohibited Conduct

You may not engage in any of the following activities:

  • Scraping, crawling, or accessing VoxPoint data through any means other than the documented APIs.
  • Reverse engineering, decompiling, or disassembling any part of the Platform or its APIs.
  • Credential stuffing, brute-force attacks, or any attempt to gain unauthorized access to accounts or systems.
  • Distributing malware, spyware, or any code designed to damage, interfere with, or gain unauthorized access to systems.
  • Using the API to build a competing service that substantially replicates the core functionality of the Platform.
  • Any activity that violates the Acceptable Use Policy.

11. Revocation and Suspension Rights

VoxPoint reserves the right, at its sole discretion, to revoke API keys, suspend or terminate developer accounts, remove Apps from the Marketplace, and block API access for security, abuse prevention, or policy violations. VoxPoint will make reasonable efforts to provide notice before taking such action, except where immediate action is necessary to protect the Platform, its users, or third parties. VoxPoint shall not be liable for any damages resulting from the exercise of these rights.

12. Indemnification

You agree to indemnify, defend, and hold harmless VoxPoint, its officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the APIs, your App, your violation of this Agreement, or your infringement of any third-party rights.

13. Limitation of Liability

To the maximum extent permitted by applicable law, VoxPoint shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunities, whether incurred directly or indirectly, arising from your use of or inability to use the APIs or the Platform. In no event shall VoxPoint's total aggregate liability exceed the greater of one hundred dollars (USD $100) or the amount you paid to VoxPoint in the twelve months preceding the claim.

14. Governing Law and Venue

This Agreement shall be governed by and construed in accordance with the laws of the State of Washington, without regard to conflict of law principles. Any disputes arising out of or relating to this Agreement shall be resolved exclusively in the state or federal courts located in King County, Washington.

15. Survival

Sections relating to indemnification, limitation of liability, intellectual property ownership, data handling, confidentiality, and governing law shall survive termination or expiration of this Agreement.

16. Modifications and Contact

VoxPoint may update this Agreement at any time. Material changes will be communicated via email to your registered developer contact address at least thirty (30) days before the effective date. Your continued use of the APIs after the effective date constitutes acceptance of the updated terms.
